This paper describes the origin under the American law of the contractual clause known as take or pay in the context of the energy industry, and it reviews the most significant conflicting cases arising from its use and interpretation. It also provides a summary examination of the administrative regulation derived in America from the litigations, and later adoption of the covenant into the local Chilean contracts for supply to the energy market and how it may influence or affect the parameters to determine dispatch of the generating units, context in which scarce conflicting cases and finally the recent actions from the regulatory authority are studied.
