Resumen
MANTEROLA DOMINGUEZ, Pablo. KEEPING SHARES DUTY IN THE ACTING IN CONCERT AGREEMENT OF THE SECURITIES MARKET LAW. Rev. chil. derecho [online]. 2018, vol.45, n.1, pp.155-177. ISSN 0718-3437. http://dx.doi.org/10.4067/S0718-34372018000100155.
In the shareholder’s agreement defined in art. 98 of the Securities Market Law, there are potentially conflicting interests: on the one hand, its members have committed to act jointly in the formation of the company’s will; on the other, each member may exit the company transferring his share to a third party. For lack of an express clause, this problem may be resolved integrating in the contract a keeping shares duty as a conduct secondary duty.
Palabras clave : Shareholder’s agreement; acting in concert agreement; shares disposal; conduct secondary duty.
